Terms of Service

1. Service Description

Chakra ("I," "me," "my") provides AI engineering consulting, system design, development, and deployment services. I build custom AI-powered systems for businesses, including automation workflows, AI agents, data pipelines, and production-grade software applications.

2. Engagement Terms

All engagements are governed by a written Statement of Work (SOW) that defines scope, deliverables, timeline, and fees.

• Engagements are fixed-fee unless otherwise specified in the SOW.
• Scope changes require written approval before additional work begins.
• A change order will be issued for any scope modification, specifying adjusted cost and timeline.
• Timelines are estimates; delays caused by client-side dependencies may extend delivery dates.

3. Intellectual Property

Upon full payment, you own all deliverables specified in the SOW, including source code, documentation, and configurations created specifically for your engagement. I retain the right to reuse general-purpose tools, frameworks, and methodologies developed independently. No proprietary client data, business logic, or trade secrets are retained or reused.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information. I sign NDAs before accessing any client data. Confidential information will not be disclosed to third parties without written consent, except as required by law.

5. Payment Terms

• 50% of the total project fee is due upon signing the SOW.
• Remaining payments are milestone-based as defined in the SOW.
• Invoices are payable within 14 days of issuance.
• Late payments may incur a fee of 1.5% per month on overdue balances.

6. Limitation of Liability

Total liability for any claim is limited to the total fees paid for that specific engagement. I am not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

7. Warranties

All deliverables will function substantially as described in the SOW for 30 days following delivery. Issues will be corrected at no additional cost. This warranty does not cover issues caused by client modifications, third-party services, or use outside the intended scope.

8. Termination

Either party may terminate with 14 days' written notice. Upon termination:

• You pay for all work completed up to the termination date.
• All completed deliverables and work-in-progress are transferred to you.
• Confidentiality obligations survive termination indefinitely.

9. Governing Law

These terms are governed by the laws of the State of [Your State], without regard to conflict of law provisions.
